Mr. Wharton practices in the areas of corporate and securities law, international business transactions, and intellectual property.

Scott is a business lawyer with substantial experience handling a broad range of domestic and international matters for both public and private companies. Scott’s areas of expertise include general corporate and securities matters, mergers and acquisitions, venture capital transactions, intellectual property and technology licensing, strategic alliances, joint ventures, and complex business litigation.

As Chief Legal Officer of Digiquant A/S, an international telecommunications software company, Scott was a member of the executive management committee and was responsible for the company’s worldwide legal and regulatory affairs. He managed a global legal department with lawyers located in the US, Europe and Asia, oversaw the company’s efforts to carry out a dual Nasdaq/Copenhagen IPO and its private capital raising activities, and negotiated and closed a wide variety of international technology licensing and strategic alliance transactions. Scott continues to serve as outside general counsel to the company.

Prior to this experience, Scott served as Senior Vice President, General Counsel and Secretary, and was a member of the executive management committee of a publicly traded telecommunications software company with a dual listing on Nasdaq and the Neuer Markt of the Frankfurt Stock Exchange. In this role, Scott oversaw a global legal department and was responsible for the company’s worldwide legal and regulatory affairs. He successfully managed and closed several acquisitions, and a wide variety of international technology licensing and strategic alliance transactions. Scott also successfully built and managed an international intellectual property portfolio that included registered patents, trademarks and copyrights. In 2000, Scott managed and closed the acquisition of this company by a former FTSE 100 company in a stock deal valued at over $4 billion.

Scott has practiced extensively in Atlanta, handling domestic and international business transactions, regulatory, intellectual property, general corporate and securities, and complex business litigation matters.
